1. Acceptance of Terms

By accessing or using COI Autopilot ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts to use this Service. By using the Service, you represent and warrant that you meet these requirements.

3. Service Description

COI Autopilot provides AI-powered analysis of Certificate of Insurance documents. The Service is provided "AS IS" and "AS AVAILABLE" without any warranties of any kind.

4. No Warranties

THE SERVICE IS PROVIDED WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• Warranties of merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of any information or analysis
• Uninterrupted or error-free operation
• Freedom from viruses or other harmful components
• Security of data transmission or storage

5. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim
• We are not responsible for any business losses, lost profits, revenue, contracts, or opportunities
• We are not liable for any errors, inaccuracies, or omissions in COI analysis
• You use this Service entirely at your own risk

6. No Professional Advice

The Service does not provide legal, insurance, or professional advice. Analysis results are for informational purposes only. You should consult with qualified professionals before making any decisions based on information from the Service. We are not responsible for any actions you take based on Service results.

7. User Responsibilities

You are solely responsible for:

• The accuracy and legality of documents you upload
• Your use of analysis results
• Any decisions made based on Service output
• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Compliance with all applicable laws and regulations

8. Acceptable Use

You agree NOT to:

• Use the Service for any illegal purpose
• Upload malicious files or attempt to harm the Service
• Attempt to bypass any security measures or usage limits
• Resell or redistribute the Service without authorization
• Reverse engineer or attempt to extract source code
• Use automated tools to access the Service excessively

9. Subscription and Payment

• Subscriptions renew automatically until cancelled
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• No refunds for partial months or unused analyses
• We reserve the right to change pricing with 30 days notice
• Failure to pay may result in service suspension or termination

10. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. We do not guarantee the security of your data. You are responsible for maintaining backups of any important information.

11. Termination

We reserve the right to suspend or terminate your access to the Service at any time, for any reason, without notice or liability. Upon termination, your right to use the Service ceases immediately.

12. Modifications to Service

We may modify, suspend, or discontinue any aspect of the Service at any time without notice or liability. We may also modify these Terms at any time by posting updated Terms. Continued use constitutes acceptance.

13. Third-Party Services

The Service uses third-party services (OpenAI, Supabase, etc.). We are not responsible for the performance, availability, or actions of these third parties. Their terms and policies apply to their services.

14. Intellectual Property

All content, features, and functionality are owned by us and protected by copyright, trademark, and other laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

15. Indemnification

You agree to indemnify, defend, and hold us harmless from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from your use of the Service or violation of these Terms.

16. Dispute Resolution

Any disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

18. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

19. Entire Agreement

These Terms constitute the entire agreement between you and COI Autopilot regarding the Service and supersede all prior agreements and understandings.
